Remuneration

Springvest’s remuneration principles and practices

The Board of Directors of Springvest Corporation approves the principles and practices of the company’s remuneration system, which govern the remuneration of management and employees. They have been prepared taking into account the provisions on incentives in the Act on Investment Services and the related guidance from the authorities.

The remuneration principles are subject to the requirement that remuneration must be consistent with the company’s integration of sustainability risks. The remuneration principles and practices do not conflict with the company’s policies on sustainability risks.

Board fees and other benefits

Each year, the Annual General Meeting decides on the fees paid to Board members for their term of office. The Annual General Meeting held on 11 March 2026 resolved that the Chair of the Board be paid €3,000 per month and each of the other Board members €1,800 per month. Travel expenses are reimbursed in accordance with the company’s travel policy.

Key principles and decision-making for the remuneration of the CEO, other management and staff

The remuneration of management and staff consists of fixed and, where applicable, variable remuneration. The ratio of fixed to variable remuneration may vary by staff group and according to the company’s operating environment and financial position.

Fixed remuneration is determined primarily by the person’s professional experience, role and responsibilities. The amount of variable remuneration takes into account, among other things, risks that are known at the time of assessment but have not yet materialised, the cost of capital and the necessary liquidity. The fixed and variable components of remuneration must always be balanced so that the remuneration structure does not favour the interests of the investment firm or its relevant persons over the interests of clients.

Each year, Springvest’s Board of Directors reviews and decides on the salaries, fees and other benefits of the CEO and the other members of the management team, as well as the criteria on which they are based. The remuneration of the CEO and management team members consists of a fixed monthly salary, any customary fringe benefits and the incentives in force at the time.

The remuneration schemes motivate the company’s management to develop the company and secure its long-term financial success. The remuneration principles take into account, among other things, the company’s stage of development and business strategy. The remuneration of Springvest’s other permanent staff follows the same principles as that of management.

The company has not granted loans to the CEO or management team members, or given guarantees on their behalf. The company has an option programme in force. The pension benefits of the CEO and other management team members are determined in accordance with the law and general practice. The company has no supplementary pension or insurance arrangements in place for the CEO or other management team members.

Decision-making

Springvest’s Board of Directors approves the remuneration policy and any changes to it, as well as the principles of the remuneration system, including its general principles for the company’s management, other staff and tied agents. The Board is responsible for the principles of the remuneration system and for keeping them up to date, and monitors their application to ensure they remain appropriate.

Springvest does not have a separate remuneration committee. The Board aims to assess independently the incentives created by the remuneration schemes and their other effects on the management of risk, capital and liquidity. In carrying out its duties, the Board must take into account the long-term interests of shareholders, investors and the company’s other stakeholders, as well as the public interest.

The principles and practices of the remuneration system do not apply to fees paid to Board members. The remuneration and incentives of Board members are decided by the general meeting.

The Board implements the remuneration of the CEO in practice, and the CEO implements the remuneration of other employees. The company’s executive management is responsible for the day-to-day implementation of the remuneration principles and for monitoring the risk of non-compliance with them. The approval procedure and practices for remuneration are documented.

An independent internal audit function carries out an annual audit of remuneration.

Springvest has also defined principles for the remuneration practices of tied agents, which are included in the principles and practices of the company’s remuneration system.

Agents and fees paid for providing investment services

Springvest Corporation provides investment services through tied agents acting on its behalf and under its responsibility. The agents’ remuneration practices are based on the remuneration system approved by the company’s Board of Directors, are consistent with the company’s business strategy, objectives and values, and serve the company’s long-term interests. The agents’ remuneration practices are aligned with the company’s procedures for the effective management of conflicts of interest and risk.

When deciding on the basis for remuneration, the aim has been to ensure that remuneration does not lead to practices or risks that conflict with the interests of the company the agent represents or of its clients.

Agents are independent entrepreneurs, so they cannot be paid fixed, salary-like remuneration. Agent remuneration is performance-based. In addition to remuneration practices, conflicts of interest are prevented through organisational and administrative procedures and measures.
